Terms of Service

These Terms of Service (the "Terms") constitute a legally binding agreement between you ("you", "your") and Protasis ("Protasis", "we", "us", or "our") governing your access to and use of Protasis Arc0 ("Arc0"), including all related authentication, identity, account management, OAuth authorization, APIs, dashboards, websites, and associated services (collectively, the "Services").

BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE SERVICES.


1. Description of the Services

Arc0 is an authentication and account management service that provides identity verification, user sign‑in, and OAuth‑based authorization functionality for integrated applications and services ("Client Applications"). Arc0 operates as an identity provider and authorization server for Client Applications that choose to integrate with it.

Protasis does not own, control, or operate Client Applications unless expressly stated in writing. Authorization of a Client Application does not constitute endorsement or responsibility for that Client Application.


2. Eligibility and Authority

You represent and warrant that:

  • You are at least eighteen (18) years of age, or the age of majority in your jurisdiction, whichever is greater;
  • You have the legal capacity and authority to enter into these Terms; and
  • Your access to and use of the Services complies with all applicable federal, state, and local laws and regulations.

If you are using the Services on behalf of an entity, you represent and warrant that you are authorized to bind that entity to these Terms.


3. Accounts and Registration

3.1 Account Creation

Certain features of the Services require the creation of an account. You agree to provide accurate, complete, and current information during registration and to promptly update such information as necessary.

3.2 Account Security

You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activities conducted through your account. You agree to immediately notify Protasis of any unauthorized access to or use of your account.

Protasis shall not be liable for any loss or damage resulting from your failure to comply with this Section.


4. OAuth Authorization and User Consent

When you authorize a Client Application through Arc0, you expressly grant that Client Application the permissions and access scopes disclosed to you during the authorization process.

You acknowledge and agree that:

  • Arc0 acts solely as a technical intermediary facilitating authentication and authorization;
  • Client Applications are independently responsible for their use, storage, and processing of authorized data;
  • The nature and duration of access depend on the permissions granted and the Client Application’s configuration; and
  • You may revoke authorizations through your Arc0 account settings, subject to reasonable technical and operational limitations.

5. Acceptable Use and Restrictions

You shall not, and shall not attempt to:

  • Access or use the Services for any unlawful, fraudulent, or deceptive purpose;
  • Circumvent, disable, or interfere with security‑related features of the Services;
  • Gain or attempt to gain unauthorized access to any account, system, or network;
  • Interfere with or disrupt the integrity or performance of the Services;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of the Services, except as expressly permitted by applicable law.

Protasis reserves the right to investigate violations of this Section and to take any remedial action it deems appropriate.


6. Client Applications and Third‑Party Services

Client Applications integrated with Arc0 are provided by third parties and are subject to their own terms, privacy policies, and practices. Your interaction with any Client Application is solely between you and the applicable third party.

Protasis disclaims all responsibility and liability for Client Applications and third‑party services, including their availability, security, data practices, and content.


7. Intellectual Property Rights

All right, title, and interest in and to the Services, including all software, technology, trademarks, service marks, logos, and documentation, are and shall remain the exclusive property of Protasis or its licensors.

Subject to your compliance with these Terms, Protasis grants you a limited, non‑exclusive, non‑transferable, non‑sublicensable, and revocable license to access and use the Services solely for their intended purpose.


8. Privacy

Protasis’s collection, use, and disclosure of personal information are governed by the Arc0 Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to such collection and use.


9. Suspension and Termination

Protasis may suspend or terminate your access to the Services, in whole or in part, at any time, with or without notice, if Protasis reasonably determines that:

  • You have violated these Terms;
  • Your use of the Services poses a security, legal, or operational risk; or
  • Suspension or termination is required by applicable law or regulation.

Upon termination, all licenses granted under these Terms shall immediately cease.


10. Service Availability and Modifications

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Protasis does not warrant that the Services will be uninterrupted, timely, secure, or error‑free.

Protasis reserves the right to modify, suspend, or discontinue any portion of the Services at any time without liability.


11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROTASIS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT.


12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PROTASIS, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL PROTASIS’S AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.


13. Indemnification

You agree to defend, indemnify, and hold harmless Protasis and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services or your violation of these Terms.


14. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located within the State of Delaware, and you consent to the personal jurisdiction and venue of such courts.


15. Changes to the Terms

Protasis reserves the right to modify these Terms at any time. Updated Terms will be effective as of the revised effective date. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.


16. Miscellaneous

These Terms constitute the entire agreement between you and Protasis regarding the Services and supersede all prior or contemporaneous agreements. If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect. Protasis’s failure to enforce any right or provision shall not constitute a waiver of such right or provision.
